RTCU Software & Firmware License

1. Agreement and Parties
   This is a legal Agreement between Logic IO Aps, Holmboes Allé 14, 8700 Horsens,
   Denmark, and the "User". The User is defined as the individual or authorized  representative of the company purchasing or using Logic IO Products. Purchase of
   Products or use of Software, Firmware, and Documentation indicates the User's complete and unconditional acceptance of this Agreement.

2. Grant of License and Ownership
   Logic IO grants a non-exclusive license to the solely for operating Logic IO hardware Products Documentation are protected by Danish copyright property of Logic IO.
   Licensing officially commences Software, Firmware, or Documentation.

3. Usage Restrictions
   - Prohibited Actions: User may not copy, reproduce, modify, decompile, disassemble, or reverse engineer any portion of the Software or Firmware.
   - Source Code: User shall not attempt to determine the underlying source code or permit any such action.
   - Proprietary Marks: User must reproduce all original copyright and proprietary notices on any permitted backup copy.

4. Transfer of Ownership & Hardware Resale
   - Standard Restriction: Generally, the User may not rent, lease, or sublicense this Agreement or any part of the Software.
   - Hardware Sale Transfer: This License may be permanently transferred to a third party only if the associated hardware Product is sold or transferred as a complete unit.
   - Conditions: Upon such transfer, the original User must not retain any copies, and the recipient must agree to all terms of this Agreement. Any other attempt to transfer this License shall automatically terminate the User's rights.

5. High-Risk Environment Warning
   Logic IO Products are not fault-tolerant and are not designed or intended for use in hazardous environments requiring fail-safe performance. Use is prohibited in nuclear facilities, aircraft navigation, direct life-support machines, or weapon systems where failure could lead to death, personal injury, or severe environmental damage. Logic IO does not warrant that the Software is error-free.

6. Termination and Remedies
   - Automatic Termination: Any breach of this Agreement by the User automatic termination of the License.
   - Requirement: Upon termination, the User must return or destroy all Software and Documentation, including digital media.
   - Enforcement: Logic IO is entitled to damages, injunctive relief, and the reasonable attorneys' fees and court costs in the event of a breach.

7. Governing Law and Venue
   This Agreement is governed by the laws of Denmark. Any legal proceedings or claims shall be handled exclusively in the courts located in Denmark. Any action for breach of warranty must be commenced within one (1) year following the expiration of said warranty.
